The selling process is our expertise. If you are prepared to sell, we have the experience to guide you through the sales process and maximize the value of your company. We partner with you to assist in all phases of the transaction, from confidentially marketing our company to negotiating the sale.

Our Transaction Process provides the road map we will follow. We get the owners and their advisors together to clearly communicate this path so everyone will be on the same page. This planning provides a solid foundation for success.

You deserve a qualified and experienced team of professionals guiding the process step by step. Therefore, we have a team that assists with special needs that may arise as we move through the selling process. In addition to our team, we call upon other independent professionals who may be engaged as their services are required.

Sell Side Representation

DBG represents the seller in a transaction.  We also find it important to develop a positive relationship with potential purchasers. After identifying the right buyers, we start with the basics.  We only share general information about your company. If we determine that a prospective buyer is capable and willing to purchase your business, we request a Buyer Profile.   Buyers then sign a Confidentiality Agreement. If the buyer profile meets your approval, the prospective buyer is invited to examine the Confidential Information Memorandum (“CIM”). The CIM includes more specific information about your company as well as an executive summary.  This includes high level financial information and growth strategies to maximize future value and to prepare the business to be sold at the proper time.

Serious buyers will be asked to present a Letter of Intent. At this point we will provide them with more specific information about your company. This triggers a period of Due Diligence so the buyer can seriously consider the purchase.

Our experience and knowledge bring flexibility and creativity to the negotiation process. We personally manage any mediation concerns with your attorney’s involvement.  This helps the process go more smoothly for all parties and their advisors.

In conclusion, the bottom line is this. We take on the responsibility for leading the transaction process for the sale of your company. This happens while you continue to effectively run your business.
